WEPOC TERMS AND CONDITIONS

Welcome to Wepoc.
These Terms and Conditions (“Terms”) govern your access to and use of the Wepoc mobile application, website, services, features, content, and related platforms (collectively, the “Services”).
These Terms constitute an agreement between you and Wepoc (“Wepoc,” “we,” “our,” or “us”).
By creating an account, accessing, or using Wepoc, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you should not access or use the Services.
1. ELIGIBILITY
You must meet the minimum age required under applicable law to create an account and use Wepoc.
By creating an account or using the Services, you represent that:
You are legally permitted to enter into these Terms.
The information you provide is accurate and current.
Your use of Wepoc will comply with applicable laws and regulations.
If you use Wepoc on behalf of a company, organization, artist, band, label, or other entity, you have authority to act on its behalf.
Wepoc may refuse, suspend, or terminate access where reasonably necessary to protect the platform, its users, or comply with applicable law.
2. USER ACCOUNTS
Certain Wepoc features may require you to create an account.
You are responsible for:
Maintaining accurate account information.
Protecting your password and authentication credentials.
Activities conducted through your account.
Promptly notifying Wepoc if you believe your account has been accessed without authorization.
You may not impersonate another person or organization, create an account using false information, or use another user’s account without authorization.
Wepoc reserves the right to suspend or restrict accounts that violate these Terms or create security, legal, or platform-integrity concerns.
3. WEPOC SERVICES
Wepoc is a platform designed to support creators, artists, music professionals, industry participants, and other members of the creative community.
Depending on availability, Wepoc may provide features including:
Creator and professional profiles.
Music and media uploads.
Networking and discovery tools.
Educational resources.
A&R-related resources and feedback.
Career-development resources.
Text, audio, voice, or video communications.
Artificial intelligence (“AI”) features, including Virtual A&R (“Melody”).
Human Intelligence (“HI”) features.
Community features.
Subscription-based or premium functionality.
Other creator and industry tools.
Features may change, be added, removed, limited, or updated over time.
Wepoc does not guarantee that any particular feature will always remain available.
4. CREATOR PROFILES AND PUBLIC INFORMATION
Users may create profiles containing information such as their artist or professional name, biography, music, photographs, videos, artwork, professional experience, skills, interests, social-media links, and other information.
Certain profile information may be publicly visible or accessible to other Wepoc users.
You are responsible for determining what information you choose to make publicly available.
Wepoc does not guarantee that being listed, featured, recommended, or discovered through the platform will result in professional opportunities or commercial success.
5. USER-GENERATED CONTENT
Wepoc may allow users to create, upload, publish, transmit, display, share, or otherwise make available music, recordings, photographs, videos, artwork, text, comments, messages, profile information, and other materials (“User Content”).
You retain ownership of the original User Content you create and upload to Wepoc.
By uploading or making User Content available through Wepoc, you grant Wepoc a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, format, and otherwise use your User Content solely as reasonably necessary to operate, provide, improve, secure, and promote the Services, subject to applicable law and our Privacy Policy.
This license does not transfer ownership of your User Content to Wepoc.
You represent and warrant that:
You own your User Content or have all necessary permissions and rights to use it.
Your User Content does not infringe another party’s copyrights, trademarks, publicity rights, privacy rights, contractual rights, or other legal rights.
You have obtained any necessary permissions from collaborators, performers, producers, photographers, writers, publishers, labels, or other rights holders.
Your User Content complies with applicable laws and these Terms.
You are responsible for the content you upload or share through Wepoc.
6. MUSIC AND INTELLECTUAL PROPERTY RIGHTS
Users must not upload music, recordings, compositions, artwork, videos, photographs, or other materials unless they own the applicable rights or have appropriate authorization to use those materials.
Wepoc does not acquire ownership of a user’s music merely because the music is uploaded to the platform.
Uploading content to Wepoc does not change existing ownership arrangements between artists, writers, producers, labels, publishers, distributors, or other rights holders.
Users are solely responsible for understanding and complying with any agreements that govern their content.
7. COPYRIGHT AND INTELLECTUAL PROPERTY COMPLAINTS
Wepoc respects intellectual property rights.
If you believe content available through Wepoc infringes your copyright or other intellectual property rights, you may contact Wepoc and provide sufficient information to identify:
The copyrighted or protected work.
The allegedly infringing material.
Where the material appears on Wepoc.
Your contact information.
The basis for your claim.
Any additional information reasonably required under applicable law.
Wepoc may remove or restrict access to content when reasonably appropriate and may suspend or terminate accounts of users who repeatedly infringe intellectual property rights.

8. COMMUNICATIONS BETWEEN USERS
Wepoc may provide functionality allowing users to communicate through text, audio, voice, video, or other methods.
Users are responsible for their interactions with other users.
You may not use Wepoc communications to:
Harass, threaten, stalk, or abuse another person.
Send unlawful or fraudulent communications.
Distribute malware or malicious content.
Engage in spam or unauthorized mass solicitation.
Impersonate another person or organization.
Violate another person’s privacy.
Engage in illegal activity.
Wepoc may use automated systems, technical metadata, reports, or other reasonable measures to protect users and maintain platform security.
Wepoc does not claim ownership of users’ private communications.
9. AI AND HUMAN INTELLIGENCE (HI) FEATURES
Wepoc may provide features powered by artificial intelligence (“AI”), human knowledge and experience (“HI”), or a combination of both.
These features may provide information, analysis, feedback, recommendations, educational resources, creative assistance, career-development information, or other outputs.
AI-generated outputs may be inaccurate, incomplete, outdated, or inappropriate for a particular situation.
Users should independently evaluate important information before relying upon it.
Wepoc does not guarantee that AI or HI recommendations, feedback, analysis, or other information will produce any particular professional, artistic, commercial, financial, or career result.
AI and HI features should be treated as informational, educational, and creative resources.
AI features and third-party AI processing
Wepoc’s Virtual A&R (“Melody”) is powered by Grok, an artificial-intelligence service operated by xAI Corp. (“xAI”), located in the United States.
When you use Melody, we send the following to xAI:
the messages you type to Melody, and the earlier messages in that conversation, so it can follow the thread;
if you start a voice session, the audio captured by your device’s microphone while that session is running, and the transcript generated from it;
your first name, so that Melody can address you.
We do not send your email address, phone number, password, payment details, private Connect messages, or your posts and tracks to xAI.
We ask for your permission inside the app before any of this is sent to xAI for the first time, and you can withdraw that permission at any time in Settings. If you withdraw it, Melody stops working until you grant it again.
This data is sent to xAI solely to generate Melody’s response. xAI processes it under its own privacy policy and under contractual terms requiring protections equivalent to those described in our Privacy Policy. We do not sell this data and it is not used for advertising profiles.
10. PROFESSIONAL AND CAREER OPPORTUNITIES
Wepoc may help users connect with artists, creators, producers, music professionals, A&R professionals, industry participants, businesses, or other users.
Wepoc does not guarantee:
Discovery by industry professionals.
Representation.
Record deals.
Publishing agreements.
Employment.
Collaborations.
Streaming performance.
Audience growth.
Revenue.
Investment.
Sponsorships.
Career advancement.
Commercial success.
Unless Wepoc expressly states otherwise, Wepoc is not a party to agreements or transactions independently entered into between users.
Users are responsible for evaluating opportunities, individuals, companies, agreements, and transactions before making professional or financial commitments.
11. ACCEPTABLE USE
You agree not to use Wepoc to:
Violate applicable laws or regulations.
Infringe intellectual property rights.
Harass, threaten, exploit, or harm others.
Publish unlawful, defamatory, fraudulent, or malicious content.
Distribute viruses, malware, or harmful software.
Attempt unauthorized access to Wepoc systems or other accounts.
Circumvent security or access controls.
Scrape or systematically extract platform information without authorization.
Use automated systems to abuse or overload the Services.
Manipulate platform metrics or engagement.
Create fraudulent identities or accounts.
Use Wepoc for unauthorized spam or mass solicitation.
Interfere with the normal operation of the Services.
Use the Services in a manner that creates unreasonable legal, security, or operational risks.
Wepoc may investigate suspected violations and take reasonable action, including restricting content, suspending accounts, or terminating access.
12. SUBSCRIPTIONS AND PAID SERVICES
Wepoc may offer subscriptions, digital services, premium features, or other paid functionality.
Pricing, subscription periods, included features, and applicable terms will be presented before purchase.
Subscriptions purchased through Apple’s App Store are processed and administered through Apple and may be subject to Apple’s applicable payment, subscription, cancellation, and refund terms.
Subscriptions may automatically renew unless canceled before the applicable renewal date, subject to the rules and settings of the marketplace or payment provider through which the subscription was purchased.
Users are responsible for managing their subscriptions through the applicable platform or account settings.
Wepoc may modify subscription pricing or features in the future, subject to applicable notice requirements and marketplace rules.
13. CANCELLATIONS AND REFUNDS
Cancellation and refund rights may depend on where and how a purchase was made.
For purchases made through Apple’s App Store, cancellation and refund requests may be subject to Apple’s policies and procedures.
Canceling a subscription generally prevents future renewal but does not necessarily provide a refund for an existing subscription period unless required by applicable law or the applicable payment provider’s policies.
Nothing in these Terms limits any refund or cancellation rights that cannot legally be waived.
14. THIRD-PARTY SERVICES
Wepoc may integrate with or provide links to third-party websites, platforms, payment providers, social networks, technology providers, or other services.
Wepoc does not control those third-party services.
Your use of third-party services may be governed by separate terms and privacy policies.
Wepoc is not responsible for third-party services, content, policies, availability, security, or actions except where responsibility cannot be excluded under applicable law.
15. WEPOC INTELLECTUAL PROPERTY
The Wepoc platform and its underlying technology, branding, logos, trademarks, designs, interfaces, graphics, software, and original materials are owned by Wepoc or its licensors and are protected by applicable intellectual property laws.
These Terms do not grant users ownership of Wepoc intellectual property.
Subject to these Terms, Wepoc grants users a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Services for their intended purposes.
You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or commercially exploit Wepoc technology or proprietary materials except where expressly permitted by Wepoc or applicable law.
16. FEEDBACK
If you voluntarily provide ideas, suggestions, recommendations, or feedback regarding Wepoc, you permit Wepoc to use that feedback to develop, improve, and operate its products and services without an obligation to compensate you.
This provision does not transfer ownership of your music, artwork, recordings, or other User Content to Wepoc.
17. CONTENT MODERATION
Wepoc may, but is not obligated to, review, restrict, remove, disable, or moderate content when Wepoc reasonably believes the content:
Violates these Terms.
Violates applicable law.
Infringes another party’s rights.
Creates safety or security risks.
Constitutes fraud, spam, or abuse.
Could materially harm Wepoc, its users, or third parties.
Wepoc may use automated systems, human review, user reports, or a combination of methods to identify potential violations.
18. ACCOUNT SUSPENSION AND TERMINATION
You can delete your Wepoc account from inside the app, at Settings → Delete account. You are signed out immediately. Thirty (30) days later we permanently erase your profile, posts, tracks, messages, Melody conversations, lesson progress, and the media you uploaded.
You can cancel the deletion at any point during those 30 days by signing back in and opening Settings. You do not need to contact support to delete your account.
Wepoc may suspend, restrict, or terminate an account where reasonably necessary because of:
Violations of these Terms.
Fraud or suspected fraudulent activity.
Security concerns.
Intellectual property violations.
Abuse or harassment.
Illegal activity.
Risk to Wepoc or other users.
Legal or regulatory requirements.
Where appropriate and legally required, Wepoc may provide notice or an opportunity to appeal certain enforcement decisions.
19. SERVICE AVAILABILITY AND CHANGES
Wepoc works to provide reliable Services but does not guarantee uninterrupted or error-free availability.
Services may occasionally be unavailable due to maintenance, technical problems, third-party outages, updates, security issues, or circumstances outside Wepoc’s reasonable control.
Wepoc may modify, update, discontinue, or replace features as the platform evolves.
20. DISCLAIMERS
To the fullest extent permitted by applicable law, Wepoc provides the Services on an “as is” and “as available” basis.
Wepoc does not guarantee that:
The Services will always be available or error-free.
All content or information will be accurate or complete.
AI-generated information will always be correct.
Users will achieve particular professional or commercial results.
Users will receive opportunities, contracts, employment, representation, or financial benefits.
Content uploaded by other users is accurate, lawful, or authorized.
Users assume responsibility for decisions they make based on information, communications, opportunities, or resources obtained through Wepoc.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
21. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Wepoc and its owners, affiliates, officers, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of the Services.
This may include loss of profits, revenue, opportunities, data, reputation, business, or other intangible losses.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
22. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Wepoc and its affiliates, officers, employees, contractors, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising from:
Your User Content.
Your misuse of the Services.
Your violation of these Terms.
Your violation of applicable law.
Your infringement of another party’s rights.
This provision applies only to the extent permitted under applicable law.
23. PRIVACY
Your use of Wepoc is also governed by Wepoc’s Privacy Policy.
The Privacy Policy explains how Wepoc may collect, use, disclose, retain, and protect personal information, including information sent to xAI when you use Melody.
By using Wepoc, you acknowledge the data practices described in the Privacy Policy.
24. CHANGES TO THESE TERMS
Wepoc may update these Terms as its Services, business, technology, or legal obligations evolve.
When material changes are made, Wepoc may provide notice through the application, website, email, or other appropriate means.
The “Last Updated” date at the beginning of these Terms indicates when they were most recently revised.
Continued use of Wepoc following the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.
25. GOVERNING LAW
These Terms are governed by the laws applicable to Wepoc’s operating entity and jurisdiction, without regard to conflict-of-law principles, except where applicable consumer-protection laws require otherwise.
Users may also have mandatory rights under the laws of the jurisdiction in which they reside.
26. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
27. ENTIRE AGREEMENT
These Terms, together with the Wepoc Privacy Policy and any additional terms presented for specific features or services, constitute the agreement between you and Wepoc concerning your use of the Services.
